These terms govern your use of biz-lio.com and any services you engage us to deliver. Please read them carefully — we've written them to be clear, not long.
Plain-English summary: By using our website or hiring us, you agree to these terms. We own the intellectual property in our deliverables until you pay in full. We don't guarantee outcomes. Our liability is capped at fees paid. Both sides must keep each other's information confidential.
By accessing or using the Biz-Lio website at biz-lio.com ("Site"), or by engaging Biz-Lio LLC ("Biz-Lio", "we", "us", "our") for any professional services, you ("you", "Client", or "User") agree to be bound by these Terms and Conditions ("Terms") in full.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree with any part of these Terms, you must not use our Site or services.
These Terms apply alongside any separately executed Statement of Work, Master Services Agreement, or engagement letter. In the event of a conflict, the specific engagement document takes precedence.
Biz-Lio LLC is a business intelligence and operations consultancy incorporated in the State of Delaware, United States. We provide advisory, data strategy, process design, AI integration, and execution support services to mid-market enterprises globally.
For all legal correspondence, please contact us at legal@biz-lio.com.
You may use our Site for lawful purposes only — to learn about our services, make enquiries, and access published content. You agree not to use the Site in any way that:
Some areas of our Site may require you to register. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@biz-lio.com if you suspect unauthorised use.
We do not guarantee that the Site will always be available or uninterrupted. We may suspend, withdraw, or restrict access to all or part of the Site for business or operational reasons without notice.
Biz-Lio provides professional consulting services including, but not limited to: operations design, data strategy, AI integration, customer experience transformation, digital modernization, and execution support.
The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate Statement of Work ("SOW") or engagement letter signed by both parties. No obligation to deliver services arises until such a document is executed.
We will perform our services with the reasonable skill, care, and diligence expected of a qualified professional in our field. We draw on our experience and judgment to advise you — but our advice is based on the information you provide and on conditions at the time of engagement.
We may engage qualified subcontractors or specialist freelancers to assist with delivery. We remain responsible to you for the quality of all work delivered, regardless of whether a subcontractor was involved. Subcontractors are bound by confidentiality obligations no less protective than those in these Terms.
No guarantee of outcomes: Business results depend on many factors outside our control, including how our recommendations are implemented, market conditions, and decisions made by your team. We do not warrant any specific business outcome from our services.
Successful delivery of our services depends on your active participation. You agree to:
Where delays or poor outcomes result from your failure to meet these obligations, Biz-Lio will not be held liable. We reserve the right to adjust timelines or fees where such failures materially affect our ability to deliver.
Fees are as set out in the applicable SOW or engagement letter. Unless otherwise stated, all fees are quoted in US Dollars and are exclusive of applicable taxes (including VAT, GST, or sales tax), which will be added where required by law.
Invoices are payable within 30 days of the invoice date unless a different schedule is agreed in writing. Payment may be made by bank transfer, ACH, or such other method as we agree.
Invoices not paid by the due date will accrue interest at the rate of 1.5% per month (or the maximum permitted by law, if lower) from the due date until payment is received in full. We reserve the right to suspend delivery of services until all overdue amounts are settled.
Reasonable out-of-pocket expenses (e.g. travel, accommodation, software licences specific to your project) will be charged at cost with your prior approval. Expenses exceeding $500 in a single instance require written approval before being incurred.
Fees for work already performed are non-refundable. If an engagement is terminated early by either party, you will be invoiced for work completed and reasonable wind-down costs up to the termination date.
All intellectual property owned or licensed by Biz-Lio prior to an engagement — including our frameworks, methodologies, tools, templates, and general know-how ("Background IP") — remains our exclusive property. We grant you a non-exclusive, non-transferable licence to use Background IP solely as embedded in the deliverables we provide to you.
Upon receipt of payment in full for an engagement, and unless otherwise agreed in the SOW, Biz-Lio assigns to you all rights in the custom deliverables created specifically for your project ("Foreground IP"). This assignment excludes any Background IP embedded within those deliverables, for which the licence above applies.
You retain full ownership of all data, materials, and other content you provide to us. You grant Biz-Lio a limited, non-exclusive licence to use such materials solely for the purpose of performing the services.
All content on this Site — including text, graphics, logos, icons, images, audio clips, and software — is the property of Biz-Lio LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from Site content without our prior written consent.
Each party ("Receiving Party") may receive confidential information of the other party ("Disclosing Party") in the course of an engagement. "Confidential Information" means any information marked as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.
Each Receiving Party agrees to:
These obligations do not apply to information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was already known to the Receiving Party before disclosure; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prior notice where legally permissible.
Confidentiality obligations survive termination of any engagement for a period of three (3) years, except for trade secrets, which are protected indefinitely.
We will never use your business information, data, or internal documents to benefit any other client, competitor, or third party. Your data is used solely to deliver your engagement.
To the maximum extent permitted by applicable law:
Our professional services engagements are governed by the applicable SOW and the specific terms agreed therein, which may include additional warranties.
To the fullest extent permitted by law, Biz-Lio and its officers, directors, employees, and contractors shall not be liable for:
In all cases, our total aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you to Biz-Lio in the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Biz-Lio LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
We will notify you promptly of any claim subject to this indemnification and will reasonably cooperate with your defence at your expense. We reserve the right to assume exclusive control of any matter otherwise subject to indemnification, in which event you will cooperate fully with us.
Our Site may contain links to third-party websites, tools, or services for your convenience. These links do not constitute endorsement of the linked site or any association with its operators.
Biz-Lio has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them. When you leave our Site, we encourage you to read the privacy policy and terms of any website you visit.
Where we recommend third-party software or service providers as part of a project, we are not responsible for their performance, security, pricing changes, or service continuity.
Either party may terminate an engagement by giving 30 days' written notice to the other, unless the applicable SOW specifies a different notice period.
Either party may terminate immediately by written notice if the other party:
On termination: (a) all licences granted under these Terms cease; (b) you will pay for all work completed up to the termination date; (c) each party will return or securely destroy the other's Confidential Information on request; and (d) provisions intended to survive termination (including Sections 7, 8, 10, 11, and 14) will continue in full force.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.
Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days following written notice of the dispute.
If negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration shall be San Francisco, California, USA. Proceedings shall be conducted in English. The arbitral award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
If you are located in the European Union or United Kingdom, nothing in these Terms affects any mandatory consumer protection rights you may have under the laws of your country of residence.
We reserve the right to modify these Terms at any time. When we make material changes, we will:
Your continued use of our Site or services after a change takes effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site and notify us to terminate any active engagement.
Changes will not apply retroactively to engagements already underway except where required by law or agreed in writing by both parties.
